These Terms of Service ("Terms") govern your use of Commerce Kitty, operated by Apex Squid LLC, a Georgia limited liability company ("we," "us," or "our"). By creating an account or using Commerce Kitty, you agree to these Terms.
1. Eligibility
You must be at least 18 years old and have the legal capacity to enter into a binding agreement to use Commerce Kitty. By using our services, you represent that you meet these requirements.
Commerce Kitty is designed for business use. You are responsible for ensuring that your use of the service complies with all applicable laws and regulations in your jurisdiction.
2. Your Account
You are responsible for maintaining the security of your account credentials. Do not share your password with anyone. You are responsible for all activity that occurs under your account.
You must provide accurate information when creating your account and keep it up to date. We reserve the right to suspend or terminate accounts that contain false or misleading information.
You may connect third-party platforms (such as Shopify, Amazon, Etsy, or eBay) to your Commerce Kitty account. You are responsible for maintaining valid authorization with those platforms. If a platform revokes your access, Commerce Kitty will no longer be able to sync data for that connection.
3. Services
Commerce Kitty provides multi-channel inventory management tools including inventory sync, order management, product listing management, and integrations with third-party platforms and fulfillment services.
We strive to keep your inventory accurate across all connected platforms. However, syncing depends on the availability and performance of third-party platform APIs, network connectivity, and other factors outside our control. We do not guarantee that inventory will sync instantaneously in every scenario.
4. Pricing and Payment
Commerce Kitty offers a free plan and paid subscription plans. Current pricing is displayed on our website and may change with notice.
Paid subscriptions are billed monthly through Stripe. By subscribing to a paid plan, you authorize us to charge your payment method on a recurring monthly basis until you cancel.
You may upgrade or downgrade your plan at any time. Upgrades take effect immediately. Downgrades take effect at the start of your next billing cycle.
5. Cancellation and Refunds
You may cancel your paid subscription at any time from your account settings. When you cancel:
- Your subscription remains active until the end of your current billing period
- You will not be charged for the next billing period
- No refunds are provided for partial months or unused time
- Your account reverts to the free plan at the end of the billing period
Your data is retained after cancellation. You can continue using Commerce Kitty on the free plan or delete your account entirely by contacting support.
6. Your Data
You retain ownership of all data you provide to Commerce Kitty, including product information, order data, and customer information from your connected platforms.
You grant us a limited license to store, process, and transmit your data as necessary to provide the Commerce Kitty service. This includes syncing data between your connected platforms, displaying data in your dashboard, and generating reports.
We do not claim ownership of your content. We do not use your product listings, customer data, or business information for any purpose other than providing the service to you.

7. Acceptable Use
You agree not to:
- Use Commerce Kitty for any illegal purpose
- Attempt to access other users' accounts or data
- Interfere with the operation of the service
- Reverse engineer, decompile, or disassemble the software
- Use automated tools to scrape or extract data from the service (other than through our API, if available)
- Resell access to Commerce Kitty without our written permission
- Use the service to send spam or unsolicited messages
We reserve the right to suspend or terminate your account if you violate these terms.
8. Limitation of Liability
Commerce Kitty is provided "as is" without warranties of any kind, either express or implied. We do not warrant that the service will be uninterrupted, error-free, or completely secure.
To the maximum extent permitted by law, Apex Squid LLC shall not be liable for:
- Lost sales, revenue, or profits resulting from inventory sync delays or errors
- Overselling that occurs during brief sync windows or due to third-party API outages
- Actions taken by third-party platforms (such as account suspensions, listing removals, or fee changes)
- Data loss caused by third-party service outages
- Any indirect, incidental, special, consequential, or punitive damages
Our total liability for any claim arising from your use of Commerce Kitty is limited to the amount you paid us in the 12 months preceding the claim.
9. Indemnification
You agree to indemnify and hold harmless Apex Squid LLC from any claims, damages, or expenses (including reasonable attorney fees) arising from your use of Commerce Kitty, your violation of these Terms, or your violation of any third-party rights.
10. Third-Party Platforms
Commerce Kitty integrates with third-party platforms and services. Your use of those platforms is governed by their own terms of service and privacy policies. We are not responsible for the availability, accuracy, or policies of third-party platforms.
If a third-party platform changes its API, terms, or policies in a way that affects Commerce Kitty's functionality, we will make reasonable efforts to adapt but cannot guarantee uninterrupted service.
11. Intellectual Property
Commerce Kitty, including its software, design, logo, and content, is the property of Apex Squid LLC and is protected by copyright, trademark, and other intellectual property laws.
You may not copy, modify, distribute, or create derivative works based on Commerce Kitty without our written permission.
12. Changes to These Terms
We may update these Terms from time to time. If we make material changes, we will notify you by email or by posting a notice on our website at least 30 days before the changes take effect.
Your continued use of Commerce Kitty after changes take effect constitutes acceptance of the updated Terms. If you do not agree to the changes, you may cancel your account before they take effect.
13. Governing Law
These Terms are governed by the laws of the State of Georgia, United States, without regard to conflict of law principles. Any disputes arising from these Terms or your use of Commerce Kitty shall be resolved in the courts of the State of Georgia.
